E-STATEMENTS ARE NOW AVAILABLE!

The First National Bank of Danville now offers Electronic Statements – electronic delivery to your home computer of your monthly account statements.  Security consisting of 128-bit encryption of the data in the electronic document exists to protect your document while in transit over the Internet.  The decryption of the electronic document will require a unique password to operate.  The document will only be decrypted and in readable form during the time you view the electronic document.  When you exit the electronic document, the document will once again be encrypted at the 128-bit level and be password protected.

E-STATEMENT SUPPLEMENTAL AGREEMENT

             This E-STATEMENT SUPPLEMENTAL AGREEMENT (hereinafter “Agreement”) constitutes supplemental terms and conditions to the agreements set forth in Understanding Your Deposit Account of First National Bank of Danville (hereinafter “we”, “our”, “us”, or “Bank”) and is between Bank and the Depositor (hereinafter “you”, “yours”, or “Depositor”) described on the First National Bank of Danville E-statement Enrollment Form.  This agreement sets forth the terms and conditions for electronic delivery of statements, notices and disclosures for accounts, including deposits, maintained by any individual, corporation, partnership, association, or other legal entity. 

1. Controlling Agreement.  The First National Bank of Danville Understanding Your Deposit Account and this Agreement shall control the terms and conditions of your accounts listed on the E-statement Enrollment Form.  To the extent that this Agreement and First National Bank of Danville’s Understanding Your Deposit Account Agreement conflict, this Agreement shall control. 

2. Election and Authorization for Electronic Delivery.  By signing the E-statement Enrollment Form, you request that Bank deliver, to you electronically, statements, notices and disclosures for the accounts listed thereon.  You agree to permit Bank to electronically deliver account statements and all forms of notices and disclosures required by applicable law relating to your accounts.  You further request and authorize Bank, at its discretion, to electronically deliver your account statement(s), notices and disclosures that it is required to provide under applicable Federal and State law and regulation, as amended from time to time, including but not limited to:

These laws and other Federal and State laws may be enacted or amended in the future to provide for electronic delivery of account statements, notices and disclosures.  As such laws are enacted or amended, you agree that Bank may provide, at its discretion, electronic delivery of such statements, notices and disclosures pursuant to these laws after they become effective.  If there is more than one Depositor that is a party to the account, notice sent to the e-mail address listed on the E-statement Enrollment Form shall be deemed complete and proper notice to all. 

3. Security Measures.  Bank agrees to use commercially reasonable efforts, consistent with industry standards, to maintain a reasonable level of security over the information contained in the electronically delivered account statement(s), notices and disclosures.  Upon Bank’s receipt of your signed E-statement Enrollment Form, Bank will confirm your e-mail address by sending you a “Welcome” E-mail which requires your reply before any electronic statement, notice or disclosure will be sent. 

            Bank’s security consists of 128-bit encryption of the data on the electronic document to protect it while in transit over the Internet.  The decryption of the electronic document will require a unique password to operate.  The electronic document will only be decrypted and in readable form during the time you view the electronic document.  When you exit the electronic document, it will once again be encrypted at the 128-bit level and be password protected. 

            YOU UNDERSTAND THAT THESE INDUSTRY STANDARDS ARE CONSTANTLY DEVELOPING.  BY SIGNING THE E-STATEMENT ENROLLMENT FORM, YOU UNDERSTAND THAT THERE ARE RISKS TO ELECTRONIC DELIVERY OF ACCOUNT STATEMENTS, NOTICES AND DISCLOSURES, INCLUDING BUT NOT LIMITED TO, DELAY OR FAILURE OF DELIVERY DUE TO TECHNICAL DIFFICULTIES, WEATHER CONDITIONS, (INCLUDING BUT NOT LIMITED TO SUN SPOTS), MATTERS BEYOND OUR REASONABLE CONTROL OR INTERCEPTION AND/OR ALTERATION OF SUCH ACCOUNT STATEMENT (S), NOTICES AND DISCLOSURES BY THIRD PARTIES IN SPITE OF BANK’S COMMERCIALLY REASONABLE SECURITY EFFORTS.  YOU AGREE THAT YOU HAVE CONSIDERED OUR SECURITY MEASURES AND AGREE THEY ARE COMMERCIALLY REASONABLE.  IN REACHING THIS CONCLUSION, YOU HAVE CONSIDERED THE HISTORICAL AND POTENTIAL FUTURE CONTENT OF YOUR ACCOUNT STATEMENT (S); THE RISKS ASSOCIATED WITH ELECTRONIC DELIVERY OF ACCOUNT STATEMENT (S), AND OUR SECURITY PROCEDURES.  YOU AGREE TO ACCEPT THE RISKS ASSOCIATED WITH ELECTRONIC DELIVERY.  IF, AT ANY TIME, YOU CONCLUDE THAT BANK’S SECURITY PROCEDURES CEASE TO BE COMMERCIALLY REASONABLE, YOU AGREE TO TERMINATE THIS AGREEMENT ACCORDING TO PARAGRAPH 10 BELOW. 

            4. Your Computer Specifications.  In order to receive E-statement services, your computer hardware, software, and your Internet Service Provider (“ISP”) must meet the following specifications:

  PC/Windows Users MAC Users
  Pentium Class Computer Windows Emulator
  32 MB RAM  
  200 MB Free Disk Space  
  Windows 95, 98, or NT 4.0 Operating System  
  ISP Allows E-Mail Attachments up to 5MB  
  Adobe Acrobat Reader 5.0 or higher (A free download is available at www.adobe.com)

Please note:  your Internet provider may need to increase your e-mail storage capacity and fees may be incurred. 

5. E-Mail Address.  We will send your periodic account statement(s) to you by e-mail to the last known e-mail address provided by you.  You agree to notify us promptly in writing (by U.S. Mail or in person) of any change of your e-mail address.  For your protection and for security purposes, we will not accept any change of e-mail address notices by e-mail or by telephone.  If your e-mail address changes and you have not notified us in writing, you agree to assume all risk and liability that may result from our sending E-statements, notices and disclosures to the e-mail address we have on file for you.

If you have a “Joint Account” in the name of two or more persons, your e-mail address may be changed using the procedure described above by any person authorized to sign on your account.  THE BANK SHALL HAVE NO OBLIGATION OR LIABILITY TO ANY OF THE PARTIES TO A JOINT ACCOUNT IF THE E-MAIL ADDRESS IS CHANGED USING THE PROCEDURES SET FORTH ABOVE. 

6.  Review of Statements. You must promptly review your E-statement and any accompanying items and notify us in writing or by e-mail at FNBESTMT@FNBDANVILLE.COM of any error, unauthorized signature, lack of signature, alteration or other irregularity.  The time periods set forth in the “Terms and Conditions of Your Account” section of Understanding Your Deposit Account of First National Bank of Danville under the “Statement” heading apply to this Agreement.  If you allow someone other than you to review your statements, you must still review the statement for any errors, unauthorized signatures, lack of signatures, alterations, or other irregularities because you will be responsible for the wrongful acts of your employees and agents.  Any applicable time periods within which you must notify us of any errors on your account statement (s) shall begin on the date that your E-statement is e-mailed to you, regardless of when you receive and/or open the E-statement. 

7.  Changing Your Password. If you want to change your password, you must notify us in writing, which must be delivered by U.S. Mail or personally.  For your protection and for security purposes, we will not accept any change of password requests by e-mail or by telephone.  The writing to change your password must set forth your account name, account number, your e-mail address, your current password and your requested new password.

            If you have a “Joint Account” in the name of two or more persons, your e-mail address may be changed using the procedure described above by any person authorized to sign on your account.  BANK SHALL HAVE NO OBLIGATION OR LIABILITY TO ANY OF THE PARTIES TO A JOINT ACCOUNT IF THE E-MAIL ADDRESS IS CHANGED USING THE PROCEDURES SET FORTH ABOVE.

            You agree that Bank has no control as to the persons who have access to your personal computer and your password once it is in your possession.  The Bank shall not be responsible for any unauthorized access to your personal computer using your password.  You agree that it is your responsibility to prevent any unauthorized access to your personal computer or unauthorized use of your password. 

8.  Disclaimer of Warranty.  WE MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE SOFTWARE PROGRAM USED TO ACCESS THE E-STATEMENT SERVICES, AND WE DO NOT WARRANT THAT THE SOFTWARE PROGRAM OR THAT E-STATEMENT SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.  WE MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, WITH RESPECT TO THE USE AND ADEQUACY OF THE SOFTWARE PROGRAM OR THE E-STATEMENT SERVICES WE PROVIDE UNDER THIS AGREEMENT.  WE DISCLAIM ANY AND ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 

9.  Notice of Unauthorized Access.  If you believe your E-statement is lost or that someone has obtained access to your E-statement without your permission, call us at (217) 442-0362 or write us at First National Bank of Danville, One Towne Centre, P.O. Box 1010, Danville, IL  61834-1010. 

10.  Liability; Indemnification.  WE SHALL BE RESPONSIBLE ONLY FOR PERFORMING THE ELECTRONIC DELIVERY OF STATEMENTS, NOTICES AND DISCLOSURES AS EXPRESSLY PROVIDED IN THIS AGREEMENT. 

WE SHALL BE LIABLE ONLY FOR MATERIAL LOSSES, WHICH ARE THE DIRECT RESULT OF OUR OWN NEGLIGENCE OR INTENTIONAL MISCONDUCT IN PERFORMING THESE ELECTRONIC DELIVERY SERVICES.  WE SHALL HAVE NO LIABILITY FOR FAILURE TO PERFORM ANY ELECTRONIC DELIVERY SERVICE OR FOR ANY DISRUPTION OR DELAY IN PERFORMING ELECTRONIC DELIVERY SERVICES IN THE EVENT SUCH FAILURE, DISRUPTION OR DELAY IS DUE TO CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL, INCLUDING, BUT NOT LIMITED TO, FAILURE OR DISRUPTION OF ELECTRIC POWER, COMPUTER EQUIPMENT, TELECOMMUNICATIONS SYSTEMS, YOUR ISP, OR WEATHER CONDITIONS.  WE SHALL HAVE NO LIABILITY FOR ANY CONSEQUENTIAL, SPECIAL, PUNITIVE DAMAGES OR INDIRECT LOSS UNDER ANY CIRCUMSTANCE.           

EXCEPT TO THE EXTENT THAT WE ARE LIABLE UNDER THIS AGREEMENT, YOU AGREE TO INDEMNIFY AND HOLD US, INCLUDING OUR DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, HARMLESS FROM ALL CLAIMS, DEMANDS, JUDGMENTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEY’S FEES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PERFORMANCE OF THESE ELECTRONIC DELIVERY SERVICES. YOU AGREE THAT THIS INDEMNIFICATION SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT. 

11.  Termination/Amendment.  This agreement shall remain in full force and effect until it is terminated. You may terminate this Agreement upon thirty (30) days prior written notice delivered to Bank either personally or by U.S. Mail.  Bank has the right to terminate this Agreement at any time in its sole and absolute discretion for any reason it deems necessary.  If we terminate this Agreement, a written notice will be sent to you by U.S. Mail and it will be effective as of the date specified on the notice.

This Agreement may be amended only upon the written mutual consent of both parties to this Agreement. 

12.  Jurisdiction/Venue/Severability.   This Agreement shall be governed by and interpreted in accordance with the laws of the State of Illinois and any applicable Federal laws.  Venue for any action brought in state court shall be in Vermilion County, Illinois.  Venue for any action brought in federal court shall be in the State of Illinois.

Any determination that any part of this Agreement is invalid or unenforceable shall not affect either party’s ability to enforce the remainder of this Agreement.
